1. Acceptance of Terms
By using Zymez or any of its applications, you acknowledge that you have read, understood, and agreed to these Terms and our Privacy Policy. If you are using the Services on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms.
2. Description of Services
Zymez provides a suite of cloud-based software solutions, including but not limited to:
- Zymez SmartSlots: Intelligent scheduling and appointment booking management.
- Zymez SmartQ: Queue and visitor management for businesses and facilities.
- ViewMo: Digital signage and campaign management solution.
- Other tools and modules launched from time to time.
Each service may have its own specific usage terms and service-level agreements supplementing these general Terms.
3. Eligibility
You must be at least 18 years old and capable of entering into legally binding agreements to use our Services. By using the platform, you confirm that all registration information you provide is accurate and complete.
4. Account Registration
To use certain features, you may need to create an account on the Zymez Platform. You agree to:
- Provide accurate and up-to-date information during registration.
- Maintain the confidentiality of your login credentials.
- Notify us immediately of any unauthorized access or use of your account.
We are not liable for any loss or damage resulting from unauthorized use of your account.
5. License and Use
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes in accordance with these Terms.
You must not:
- Copy, modify, or distribute any part of the Services without written permission.
- Reverse-engineer, decompile, or attempt to extract source code.
- Use the Services for unlawful, fraudulent, or harmful activities.
- Access or use the Services to build a competing product.
6. Payment, Subscriptions, and Refunds
Some Zymez applications may be offered on a subscription or pay-per-use basis. By subscribing, you agree to pay all applicable fees as specified in your chosen plan.
6.1 Subscription Payments
- Fees are billed in advance based on your subscription cycle.
- Payments are non-refundable once charged, except where required by law.
- We may modify pricing or service tiers with reasonable prior notice.
6.2 End-Customer Payments (e.g., SmartSlots Bookings)
In certain cases (such as Zymez SmartSlots), we may facilitate payments from end customers on behalf of our clients. In such cases:
- Payments are collected and routed to the respective client (e.g., a clinic, Lab, or service provider).
- Zymez acts solely as a technology platform and is not the seller or decision-maker for refund requests.
- Refunds, cancellations, and related policies are governed by the client’s own terms and refund policies, not by Zymez.
- Users should review refund and cancellation terms on the website of the client they are paying, or contact that client directly for support.
Zymez bears no responsibility or liability for refunds, cancellations, disputes, or chargebacks arising from such transactions.
7. Intellectual Property
All intellectual property rights in Zymez — including applications, interfaces, designs, logos, trademarks, and software — are owned by Rugas Technologies Pvt. Ltd. You retain ownership of the data and content you upload but grant us a limited license to use it to deliver the Services.
8. Data Privacy and Security
We value your privacy. Our collection and use of personal information are governed by our Privacy Policy, which forms part of these Terms. We employ reasonable security measures to protect user data; however, no system can guarantee absolute protection from unauthorized access or cyber threats.
9. AI and Data Usage
Certain Zymez modules may use Artificial Intelligence (AI), machine learning, or data analytics to enhance performance, recommendations, and automation. By using the Services, you acknowledge and consent that:
- AI models may process anonymized or aggregated data to improve accuracy and efficiency.
- Your organization’s data may be used internally for model improvement, trend analysis, or system optimization, subject to strict privacy controls.
- Zymez does not use customer data to train public models, and all AI processing complies with our internal privacy and data-handling policies.
If any module integrates third-party AI APIs (for example, OpenAI or other providers), those integrations will be subject to the third party’s terms in addition to these Terms.
10. Third-Party Integrations
Zymez may integrate with third-party services. Your use of such integrations is subject to the third parties’ terms, and we are not responsible for any content, actions, or downtime caused by them.
11. Service Availability
We strive for high uptime and reliability but do not guarantee uninterrupted service. Maintenance, upgrades, or technical issues may result in temporary unavailability.
12. Beta Services Disclaimer
From time to time, Zymez may offer Beta or Early Access versions of certain products or features (e.g., experimental versions of SmartQ or ViewMo). Beta Services are provided “as-is” without warranty and may contain errors or incomplete functionality. We may modify or discontinue any Beta Service at any time without notice. Your feedback during beta testing helps us improve.
13. Limitation of Liability
To the maximum extent permitted by law, Rugas Technologies Pvt. Ltd. and its affiliates will not be liable for:
- Any indirect, incidental, consequential, or punitive damages.
- Loss of data, revenue, goodwill, or profits.
- Any claim exceeding the amount you paid for the Services in the preceding 12 months.
14. Termination
We may suspend or terminate your account if:
- You breach these Terms.
- Required payments remain unpaid.
- We are legally compelled to do so.
Upon termination, your access to Zymez will cease immediately.
15. Changes to Terms
We may update these Terms periodically. The revised version will be posted with a new “Last Updated” date. Continued use after such changes means you agree to the revised Terms.
16. Governing Law
These Terms are governed by and construed under the laws of India. All disputes will be subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka, India.
